Please read these Terms of Service (the “Terms” or “Agreement”) carefully. The Terms govern your use of the Service(s), Product(s), and Website (as defined below) and constitute your consent to this Agreement. PLEASE READ THESE TERMS CAREFULLY AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND COMPANY.

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION THAT, AS SET FORTH IN SECTION 20 BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS, COURT PROCEEDINGS, OR CLASS ACTIONS OF ANY KIND.

This Agreement is among you and our provider entities (collectively, “Company,” “We,” “Us,” or “HeroMD”) concerning your use of (including any access to) the HeroMD website currently located at https://heromd.us (together with any materials and services available therein, and any successor site(s) thereto, the “Website”), as well as our related products, services, communications, and platforms (“Service(s)”). This Agreement incorporates by reference any additional terms made available by Company via the Website (“Additional Terms”).

Please note: the Website may identify or make available products or services—including healthcare services, medical devices, or prescription drugs—of third-party healthcare providers. Such offerings are considered “Third Party Materials,” as defined below. Cured Med, LLC is not itself a healthcare provider and is not responsible for any such Third Party Materials.

By accessing or using the Website, you affirm that:

• You are at least 18 years of age, OR

• If you are between 13 and 18 years of age, you have the consent of a parent or legal guardian.

Individuals under 13 are strictly prohibited from using the Website.

If you are a parent or legal guardian and believe your child has used the Website without authorization, contact us immediately at info@heromd.us.

1. Changes

We may revise this Agreement at any time by posting an updated version on the Website or by other reasonable means. Changes do not apply retroactively to disputes arising before the updated version was posted.

Your continued use of the Website constitutes acceptance of any changes.

We reserve the right to modify, suspend, or discontinue any aspect of the Website at any time, including fees, features, and access.

2. Information Submitted Through the Website; Jurisdiction

Your submission of information is governed by our Privacy Notice.

You represent and warrant that any information you provide is accurate and complete and that you will keep it updated.

The Website is operated from the United States and is not intended to subject Company to non-U.S. jurisdiction. Use outside the U.S. is at your own risk.

We may restrict access to any person or region at our discretion.

3. Subscription Program Terms

By creating a HeroMD account, you agree to our Subscription Program terms. Your membership will continue until cancelled.

Limit one account per person.
Billing charges will appear on your statement as HEROMD.US (or similar descriptor).

Automatic Billing

Your stored payment method will be automatically billed:

• Monthly, OR

• Every two months (your choice)

on the same date of each billing cycle.

To avoid charges, you must cancel before your next shipment by logging into your account at heromd.us.

Refund & Return Policy

Once a prescription product has been approved by a licensed provider and shipped, it cannot be returned or refunded, as required by U.S. consumer safety law.

Billing Information

You must keep your payment and account details accurate and updated.
Billing updates can be made within your account dashboard on heromd.us.

Failed payments may result in suspension or termination of your subscription.

Price Changes

We reserve the right to change pricing with prior notice posted on the Website.

No Resale

Purchasing HeroMD products for resale is strictly prohibited.

Shipping

Partner pharmacies ship via USPS First Class Mail. You will receive tracking information via email.

4. Consent to Communications; Acknowledgments

By entering into this Agreement, you agree to receive operational, transactional, and marketing communications via:

• Email

• Text message (SMS)

• Voice call

• Push notifications

Standard carrier charges may apply.

You may opt out of marketing emails via unsubscribe links.
To opt out of all text messages, reply STOP to any message.
Opting out of texts may affect your ability to use the Services.

Email and text messages may include information related to your treatment. You must secure your email address and device access.

Telehealth services available through the Website are provided by licensed U.S. medical providers. Cured Med, LLC is not a healthcare provider.

HeroMD is not a substitute for in-person medical care and must not be used for emergencies. Call 911 for medical emergencies.

5. Rules of Conduct

You must not:

• Contact any healthcare provider outside the Website

• Upload unlawful, abusive, defamatory, pornographic, or infringing content

• Introduce viruses or harmful code

• Send spam

• Use the Website fraudulently

• Misrepresent your identity

• Scrape, hack, or attempt unauthorized access

• Interfere with the Website

• Frame or mirror any HeroMD content

• Create multiple accounts or engage in fraudulent activity

We may investigate or terminate accounts for violations.

6. Products

HeroMD may display and sell Products, which may change at any time without notice.

You are responsible for complying with all applicable laws when purchasing Products.
HeroMD may restrict offers to new subscribers.

7. Transactions

By making a transaction, you authorize us to charge your payment method and to share necessary information with third parties for processing.

We may:

• Limit orders

• Refuse service

• Change available quantities

• Require verification

• Change pricing

• Charge for telehealth consultations

You agree to pay all applicable charges, including taxes and shipping.

Risk of loss transfers to you once Products are delivered to the carrier.

8. Registration; Usernames and Passwords

You may need to create an account.
We may reject or require you to change your username or password.

You are responsible for maintaining account security and for all activity under your login.

You may not use another HeroMD user’s account.

Your registered email address may receive treatment-related information; secure it accordingly.

9. Profiles and Forums

Materials you post (“Submissions”) may be visible publicly.
Do not post health information publicly.
Company is not responsible for third-party use of your Submissions.

10. License

You grant Company a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and display any Submissions or Feedback you provide.

You waive any “moral rights” relating to attribution or integrity of materials.

11. Monitoring

We may monitor, review, edit, store, or remove Submissions or Website activity for any reason.

12. Your Limited Rights

You may view one copy of Website content for personal, non-commercial use.

13. Company’s Proprietary Rights

Company owns the Website and its intellectual property.
HeroMD and associated logos are trademarks of Company.

You may not use Company IP without written permission.

14. Third Party Materials; Links

We are not responsible for third-party content, materials, or services, even if accessible through our Website.

Your use of Third Party Materials is at your own risk.

15. Promotions

Any promotions are governed by their own rules. If those rules conflict with these Terms, the promotion rules apply.

16. Disclaimer of Warranties

THE WEBSITE AND PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Use the Website at your own risk.

17. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, punitive, or consequential damages.

• Your exclusive remedy is to discontinue use of the Website or Products.

• Our maximum liability is the greater of $100 or the total amount paid by you to Company in the past 12 months.

18. Indemnity

You agree to indemnify and hold harmless Company and its affiliates against any claims arising from your use of the Website or violations of this Agreement.

19. Termination

We may suspend or terminate your account at any time.
You may deactivate your account by emailing info@heromd.us.

Upon termination, you lose access to the Website and your account may be deleted.

Medical records will be retained as legally required.

Sections 2–6, 8–11, and 13–25 survive termination.

20. Dispute Resolution & Arbitration; Governing Law

(a) Arbitration Requirement

Any dispute arising under this Agreement must be resolved through binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (“AAA”).

BY AGREEING TO THESE TERMS, YOU WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

(b) Exceptions

You may still:

• Bring claims in small claims court

• Seek injunctive relief

• File IP claims in court

(c) Arbitrator

AAA Consumer Arbitration Rules apply.

(d) Notice of Arbitration

(e) Fees

Rules vary by claim size.
You may choose phone, document-only, or in-person arbitration for claims under $10,000.

(f) No Class Actions

Claims may only be brought individually.

(g) Modification

Changes to this arbitration provision may be rejected within 30 days by written notice to the address above.

(h) Enforceability

If the class action waiver is unenforceable, Section 20 is void and disputes may be litigated under Section 21.

Governing Law

This Agreement is governed by Delaware law, without regard to conflict-of-law principles.

You consent to the exclusive jurisdiction of Delaware courts for permissible lawsuits.

21. Filtering

Parental control tools are available for restricting access to harmful content. Company does not endorse any specific provider.

23. Copyright Infringement Claims (DMCA)

DMCA notices must be sent to:

Consult a legal advisor before filing a DMCA notice or counter-notice.

24. New Jersey Consumers

Certain limitations in these Terms may not apply to New Jersey residents if deemed unenforceable under New Jersey law.

25. Export Controls

You are responsible for compliance with U.S. export control laws.

You affirm you are not located in a restricted country or on any U.S. government restricted list.

26. Miscellaneous

This Agreement does not create any employment, partnership, joint venture, or agency relationship.

If any provision is unenforceable, it will be severed without affecting the remaining provisions.

You may not assign your rights; we may assign ours without restriction.

Headings are for convenience only.

This Agreement is the complete and exclusive agreement between you and Company.

A printed copy of this Agreement is admissible in legal proceedings.

Company is not responsible for delays or failures caused by events beyond reasonable control (force majeure).
